1. Who we are

These facts apply across our legal pages:

• MerneroStudio is made and sold by MERNERO LLC, a Texas limited liability company in the United States.
• MerneroStudio is offered only to customers in the United States.
• There is a free version and one paid plan, Pro, at $9.99 a month plus applicable sales tax.
• Payments are processed by Lemon Squeezy, which acts as the Merchant of Record for every purchase.

2. Who can use MerneroStudio

You must live in the United States to buy Pro. Minimum age to use MerneroStudio: TBD. Connecting a cloud AI provider with your own API key requires you to be 18 or older; users aged 13 to 17 can use MerneroStudio with MERNERO AI on their computer only.

3. The Free version

The Free version costs nothing and has no time limit. It allows up to 8 tracks and a set of effects. Pro effects play in preview in Free; exporting a project that uses them requires Pro.

4. Pro subscription

• Pro costs $9.99 a month plus applicable sales tax. There is no other paid plan.
• Pro includes unlimited tracks and every effect, with export.
• One subscription can be used on 2 computers at the same time.
• Your subscription renews every month until you cancel. Lemon Squeezy charges your payment method at each renewal.
• You can cancel at any time. Pro stays active until the end of the period you already paid for. We do not give partial refunds for unused time.

5. Payments through Lemon Squeezy

Lemon Squeezy is the Merchant of Record for all purchases. They process your payment, collect and remit sales tax, and send your receipts. Their own terms and privacy policy apply to the checkout and to your billing data. We do not see or store your full card details.

6. Refunds

You can get a full refund within 14 days of your first monthly payment, no questions asked. Later payments are not refunded. Details are in our Refund policy.

7. When Pro ends

If you cancel or a payment fails, MerneroStudio goes back to the Free version at the end of the paid period. Your projects stay on your computer and are never deleted by us. Models you downloaded also stay on your computer; Pro-only models and Pro-only features lock until you subscribe again.

8. Your music and projects

You own what you make in MerneroStudio. We claim no rights in your recordings, projects or exports.

9. MERNERO AI and cloud AI providers

MERNERO AI runs on your computer. If you choose to connect a cloud AI provider with your own API key, your use of that provider is governed by its own terms, and you are responsible for any charges it bills you. You must be 18 or older to use this option.

AI suggestions and edits can be wrong. Review what MERNERO AI changes before you publish your work.

10. Software license

Your right to install and use MerneroStudio is described in the End User License Agreement.

11. Acceptable use

Do not use MerneroStudio or mernero.com to break the law, to infringe anyone else’s rights, to get around license checks, or to attack or overload our services.

12. Disclaimers

MerneroStudio is provided “as is” and “as available”, to the extent the law allows. Full warranty disclaimer

14. Governing law

These terms are governed by the laws of the State of Texas, United States. Venue and dispute process: TBD.

15. Changes to these terms

We may update these terms. When we make a material change, we will post the new version here with a new date and, where appropriate, tell you in the app.
