End User License Agreement

1. License

MERNERO LLC grants you a personal, non-exclusive, non-transferable license to install and use MerneroStudio. The Free version may be installed on any of your computers. With a Pro subscription, Pro can be active on 2 computers at the same time.

2. Pro and the Free fallback

Pro features work while your subscription is active. When it ends, MerneroStudio keeps working as the Free version. Your projects stay on your computer and are never locked. Models you downloaded stay on your computer; Pro-only models and features lock until you subscribe again. Free allows up to 8 tracks; Pro has unlimited tracks.

3. License checks

MerneroStudio checks your Pro license from time to time. It can keep working offline for a limited period between checks. Do not try to bypass, disable or fake these checks.

4. Restrictions

Except where the law or an open-source license allows it, you may not sell, rent, sublicense or share your license, or copy, modify, decompile or reverse engineer MerneroStudio.

5. Open-source components

MerneroStudio includes open-source components, listed in the app with their licenses. Those licenses apply to those components and take priority over this agreement where they conflict. For components under the LGPL, you may modify them and reverse engineer MerneroStudio as far as needed to debug such modifications.

6. Your content

You own the music, recordings and projects you make with MerneroStudio. This agreement gives us no rights in them.

7. MERNERO AI and third-party services

MERNERO AI runs on your computer. If you connect a cloud AI provider with your own API key, that provider’s terms apply to that use, and you must be 18 or older. AI output can be wrong; you are responsible for what you publish.

8. Updates

We may provide updates that fix problems or add or change features. Updates are signed. How updates are installed: TBD.

9. Ownership

MerneroStudio, the MERNERO name and logo and all related rights belong to MERNERO LLC. Except for the license above, no rights are granted to you.

10. Termination

This license ends if you break this agreement. You may end it at any time by uninstalling MerneroStudio. Ending the license does not delete your projects.

11. Warranty and liability

MerneroStudio is provided “as is”, to the extent the law allows. Warranty disclaimer and limitation of liability

12. Export and US-only sale

Pro is sold only in the United States. You agree to follow US export laws when you use MerneroStudio.

13. Governing law

This agreement is governed by the laws of the State of Texas, United States.
